2. The Services Provided

2.1. Green Apple Media Solutions offers comprehensive digital marketing and media solutions, including but not limited to:

  • Digital Advertising & Campaign Management
  • Search Engine Optimization (SEO)
  • Email Marketing

2.2. Specific services and deliverables will be defined in the individual project agreements or contracts.
2.3. For us to provide the proposed level of service, we require your cooperation in providing timely information about your business, products, and services. You shall ensure the availability of a suitable manager or senior employee to facilitate the orderly flow of requests and information between us and you.

3. User Responsibilities

3.1. When using our services, you agree to:

  • Provide accurate, current, and complete information when requested.
  • Ensure all content or materials provided to us are free of any copyright infringement or legal violations.
  • Adhere to all applicable laws and regulations while using our services.
  • Respect the intellectual property rights of Green Apple Media Solutions and other parties.

3.2. You are solely responsible for the content you provide and the consequences of your actions while using our services.

4. Intellectual Property Rights

4.1. All content, designs, graphics, logos, text, software, and intellectual property created or utilized by Green Apple Media Solutions remain the exclusive property of the company unless otherwise stated in a project-specific agreement.
4.2. You may not reproduce, distribute, or use any materials for commercial purposes without prior written consent from Green Apple Media Solutions.
4.3. Any unauthorized use of our intellectual property is strictly prohibited and may result in legal action.

5. Payment Terms

5.1. You shall pay the Charges as specified in the Proposal on the agreed-upon dates. Monthly invoices will be sent 30 days in advance of each payment date.
5.2. All fees for our services will be outlined in the respective project agreements or contracts.
5.3. Payment schedules, methods, and due dates will be specified in each agreement.
5.4. Failure to make payments on time may result in suspension or termination of services.
5.5. All payments made are non-refundable unless explicitly stated otherwise in the agreement.

6. Completion Date & Cancellation

6.1. Timely Completion: Both Green Apple Media Solutions (Service Provider) and the Client must collaborate effectively to complete the development within the agreed timeframe to ensure profitability and efficiency for both parties.

6.2. Cancellation Policy:

  • The Client may request the cancellation of the development within 14 days of the purchase.
  • If the development is postponed or canceled by the Client after the 14-day period, Green Apple Media Solutions reserves the right to retain 50% of the total amount invoiced as a deposit and for covering development expenses.

6.3. Additional Payment:

  • If the retained amount is insufficient to cover the time and expenses already invested, the Client will be required to make an additional payment.
  • This additional payment, if applicable, will be billed to the Client within 10 days of the cancellation notification.
  • The final payment will be expected under the same payment terms outlined in this agreement.

7. Confidentiality

7.1. Both parties agree to maintain the confidentiality of any proprietary or confidential information shared during the course of our business relationship.
7.2. Confidential information includes, but is not limited to, business strategies, marketing plans, creative concepts, financial details, and personal information.
7.3. Disclosure of confidential information to third parties without prior written consent is strictly prohibited.

8. Limitation of Liability

8.1. We shall not be liable for:

  • Damage to software or data.
  • Loss of profit, revenues, anticipated savings, goodwill, or business opportunity.
  • Indirect or consequential loss or damage.

8.2. Green Apple Media Solutions shall not be liable for any direct, indirect, incidental, special, or consequential damages arising from:

  • Your use or inability to use our services.
  • Unauthorized access to or alteration of your content or data.
  • Any third-party services linked or provided through our platform.

8.3. Our total liability in any 12-month period shall not exceed 100% of the total Charges actually paid by You to Us under this Agreement.
8.4. Nothing in this Agreement shall limit our liability for:

  • Death or personal injury caused by our negligence.
  • Fraud.
  • Any liability which cannot be excluded or limited under applicable law.

9. Service Modifications and Termination

9.1. Service Modifications: Green Apple Media Solutions reserves the right to modify, suspend, or discontinue any part of our services at any time without prior notice.

9.2. Termination of Access: We may terminate or restrict your access to our services if you breach these Terms of Service.

9.3. Client Termination: If you wish to terminate your engagement with us, you must refer to the specific terms outlined in your agreement. All outstanding payments must be settled upon termination.

10. Indemnification

You agree to indemnify and hold Green Apple Media Solutions, its affiliates, employees, and partners harmless from any claims, liabilities, damages, losses, or expenses arising from:

  • Your use of our services.
  • Any violation of these Terms of Service.
  • Infringement of any third-party rights or applicable laws.

11. Third-Party Links and Services

11.1. Our website or services may contain links to third-party websites or services that are not owned or controlled by Green Apple Media Solutions.
11.2. We do not assume responsibility for the content, privacy policies, or practices of any third-party sites or services.
11.3. Green Apple Media Solutions shall not be held responsible for any loss or damage caused by your use of third-party sites or services.

12. Governing Law

12.1. These Terms of Service shall be governed by and construed in accordance with the laws of Amritsar Jurisdiction.
12.2. Any disputes arising out of or related to these terms shall be resolved exclusively by the competent courts of Amritsar Jurisdiction.

13. Amendments and Updates

13.1. Green Apple Media Solutions reserves the right to modify these Terms of Service at any time.
13.2. Any changes will be effective immediately upon posting on our website.
13.3. Your continued use of our services after modifications indicates your acceptance of the updated terms.
